2. DESCRIPTION OF SERVICES

Hernando Melo-Puerto and Stefanie Melo will assist the Clients as they seek to accomplish any of the following, but not limited to: 

• Life Coaching – e.g. time management, accountability, defining personal values, roles, goals and personal planning.
• Family Management – coaching to establish your family’s home rhythms, self care, independence, as well as home care routines, practices including decluttering.
• Mindset Work – e.g. guidance in developing a growth mindset 
• Lifestyle Coaching - determination of lifestyle goals including general wellness, sustainable purchasing and personal care.
  
  Services are considered life coaching for personal development. Life coaching is not therapy, nor medical advice.

3. DELIVERY OF ABOVE SERVICES

The above services will be delivered by but not limited to: 

• Primarily communicating via Telephone
• Email Communication
• Video Conferencing Communication via Zoom
• App communication via Telegram

4. PERFORMANCE OF SERVICES 

The manner in which the Services are to be performed and the specific hours to be worked by out by Hernando Melo-Puerto and Stefanie Melo shall be determined by Hernando Melo-Puerto and Stefanie Melo. Client will utilize Hernando Melo-Puerto and  Stefanie Melo’s online calendar to book all 19 coaching calls.

Client agrees to a minimum service agreement of 9 months at which time Client and Hernando Melo-Puerto and Stefanie Melo will revisit this agreement to determine Client’s further need for Hernando Melo-Puerto and Stefanie Melo’s services.

Client agrees to meet with Hernando Melo-Puerto and Stefanie Melo for a minimum of two (2) live hours per month via telephone or video conference.

Client agrees to use private messaging app for communication and coaching in between live sessions.

Client understands that messaging between coaching sessions will be responded to within 24-48 hours on normal business days Monday-Friday 9am - 5pm MST

5. FEE STRUCTURE AND PAYMENT TERMS

Payment method and schedule will be followed by Clients and Hernando Melo-Puerto and Stefanie Melo as determined below. Client agrees to the following fee and payment structure:

• $4500.00 payment in full or
• $555  per month, payment due the same date each month determined by dating of this contract, nine (9) payments are to be paid monthly though coaching contract.
• Client will make full or initial payment at signature of this form. Late fee of $50 will be assessed for payment received more than 5 days after due date for clients using payment plan.

6. DISCLOSURE

It is understood by the parties that Hernando Melo-Puerto and Stefanie Melo are independent contractors with respect to Clients, and not an employee of Clients. Hernando Melo-Puerto and Stefanie Melo are required to disclose any outside activities or interests that conflict or may conflict with the best interests of Client. Hernando Melo-Puerto and Stefanie Melo are not a medical professionals or therapists. Discussions can and do involve social, emotional and physical well-being and should be interpreted by clients as opinions not medical advice. Clients maintain control of all decisions and should reject advice that they do not agree with. Clients may find that things have changed after they enter a relationship with coaches.  Hernando Melo-Puerto and Stefanie Melo cannot control future events, therefore cannot be responsible for long term outcomes of the Clients.

7. CONFIDENTIALITY

Clients recognize that Hernando Melo-Puerto and Stefanie Melo have and will have the following information: personal information; future plans; which are valuable, special and unique assets of Clients and need to be protected from improper disclosure. In consideration for the disclosure of the Information, Hernando Melo-Puerto and Stefanie Melo agree that Hernando Melo-Puerto and Stefanie Melo will not at any time or in any manner, either directly or indirectly, use any Information for Hernando Melo-Puerto and Stefanie Melo’s own benefit, or divulge, disclose, or communicate in any manner any Information to any third party without the prior consent of Clients. Hernando Melo-Puerto and Stefanie Melo will protect the Information and treat it as strictly confidential. A violation of this paragraph shall be a material violation of this Agreement. The confidentiality provisions of this Agreement shall remain in full force and effect after the termination of this Agreement. Hernando Melo-Puerto and Stefanie Melo‘s employees, if any, who perform services for Clients under this Agreement shall also be bound by the provisions of this Agreement. 

8. NOTICES AND WAIVERS

All notices required or permitted under this Agreement shall be in writing. The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
